1. Acceptance

These Terms of Service govern your use of h2adv.com (the "Site"), operated by H2 Advisors ("H2 Advisors," "we," "us," or "our"). By using the Site you agree to these Terms. If you do not agree, please do not use the Site.

2. Informational purpose

The content on the Site is provided for general informational purposes only. It describes the services H2 Advisors offers and provides general information about accounting, tax, valuation, advisory, and transaction matters.

Nothing on the Site is accounting, tax, valuation, legal, or investment advice, and it is not a substitute for professional advice tailored to your circumstances. Business and tax matters depend heavily on specific facts, and general information cannot account for yours.

3. No professional or client relationship

Using the Site does not create a professional relationship between you and H2 Advisors.

Submitting the contact form, using the Business Valuation Tool, or otherwise communicating with us through the Site does not make you a client. No accountant–client, advisor–client, or other professional relationship is formed unless and until H2 Advisors and you execute a written engagement letter defining the scope of services.

Information you send us through the Site before an engagement exists may not be treated as confidential or privileged. Please do not send confidential or sensitive information through the Site.

4. Business Valuation Tool

The Site offers a tool that produces an estimated value range for a business based on limited information you supply.

The tool does not produce a business valuation. It is an automated, informational estimate generated from a small number of inputs. It is not:

  • a Valuation Engagement or a Calculation Engagement as those terms are defined under the professional standards of the National Association of Certified Valuators and Analysts (NACVA)
  • a Conclusion of Value or a Calculated Value
  • an appraisal, fairness opinion, or any other form of professional valuation
  • suitable for tax reporting, estate or gift planning, litigation, financial reporting, transactions, buy-sell agreements, financing, or any purpose that requires a defensible valuation

A professional valuation requires analysis of the specific business, its financial performance, its industry, its ownership characteristics, its risks, and the purpose for which the valuation is being performed. The tool performs none of that analysis.

Do not rely on the tool's output for any decision. If you need a valuation you can rely on, contact us about a professional engagement.

The tool's output may also reference general market data from third-party sources. That data is provided as-is, may be delayed or unavailable, and is not independently verified by H2 Advisors.

5. Your responsibilities

You agree to provide accurate information when you use the Site, to use the Site only for lawful purposes, and not to:

  • attempt to gain unauthorized access to the Site or its systems
  • interfere with or disrupt the Site
  • use automated means to access the Site in a way that imposes an unreasonable load
  • submit false, misleading, or another person's information

6. Intellectual property

The Site and its content — text, graphics, logos, images, illustrations, and design — are owned by H2 Advisors or its licensors and are protected by intellectual property law. You may view and print pages for your own personal, non-commercial reference. You may not otherwise reproduce, distribute, modify, or create derivative works without our written permission.

7. Third-party links and content

The Site may link to or embed third-party websites and services that we do not control. We are not responsible for their content, availability, or privacy practices. Links are provided for convenience and do not imply endorsement.

8. Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ITS CONTENT IS ACCURATE, COMPLETE, OR CURRENT.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, H2 ADVISORS AND ITS MEMBERS, PARTNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR RELIANCE ON ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Duval County, Florida.

11. Changes to these Terms

We may update these Terms from time to time. The effective date above will reflect the most recent revision. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
